Corporate transactions can be a critical part of a business’ life cycle, whether during growth stages or on ultimate exit. We have a significant depth of experience in relation to all types of corporate transactions, including share sales and purchases, asset sales and purchases, joint ventures, management buyouts (MBOs) and management buy ins (MBIs).

The transaction may be driven by a desire for growth through acquiring a competitor or moving into a new geographical market or diversification by way of acquiring a complementary business. Conversely, the transaction may be driven by the desire to de-risk (by partial or complete exit) or to ensure continuity by way of transfer to a new generation or into a family investment company (FIC) or trust structure.

Working in a fully integrated way with our colleagues, particularly property and employment lawyers, we ensure the right skills are brought to bear at all stages of a transaction, from structuring through to legal due diligence and drafting and negotiating of transaction documentation. We work closely with corporate finance advisors, accountants and funders (from banks through to private equity houses) to ensure our clients achieve the optimal outcome within the relevant transaction timetable.  We understand the pressures that can arise for clients when undertaking corporate transactions, and our experience and depth of resource ensures that these processes are as smooth as possible for our clients.
